They are structured similarly to for-profit companies but cannot pay dividends or distribute shares, and any surplus funds must be used for the company's stated objectives. Unlike some other organizations, NPCs are registered with a government body, such as the Companies and Intellectual Property Commission (CIPC) in South Africa, and must comply with their own Memorandum of Incorporation

Public benefit purpose: 

Their primary goal is to serve the public good, whether through charity, social welfare, education, or other activities. 

Non-distribution of profits: 

Any income or property generated is reinvested to achieve the company's objectives. Members, directors, and officers cannot receive profits beyond reasonable compensation for services rendered. 

Legal structure: 

They operate under a Memorandum of Incorporation (MOI), which outlines the rules for the company's management and objectives. 

Governance: 

They must have a minimum number of directors (e.g., three in South Africa) to be responsible for the company's governance. 

Registration: 

NPCs are registered with a government authority like the CIPC. They are distinct from other non-profit organizations like trusts or associations, which have different registration requirements. 

Registering a Non-Profit Organization (NPO) in South Africa involves submitting a completed application form and the organization's constitution to the Department of Social Development (DSD) online or at a provincial office. The organization must have a founding document complying with Section 12 of the NPO Act. Registration is free and enhances credibility, with approval typically taking about two months. 

Key Requirements and Steps:

Entity Types: Registration is for non-governmental organizations (NGOs), community-based organizations (CBOs), or faith-based organizations (FBOs).

Documentation: Prepare a constitution or founding document that meets the requirements of Section 12 (A-O) of the NPO Act.

Registration Process:

Online: Use the DSD online portal (www.npo.gov.za) for registration.

In-person: Submit documents to the nearest provincial social development office or the NPO Directorate in Pretoria.

Cost: Registration with the DSD is free.

Compliance: Post-registration, NPOs must submit annual reports and financial statements to the DSD to remain compliant. 

Important Information:

The registration process requires a governing board (structure) to be in place.

The DSD now issues electronic certificates due to postal challenges.
